SIDQO
Non-Disclosure Agreement

An NDA before you share what you've built

Tell Sidqo what you are sharing and with whom. It drafts a one-way or mutual NDA under UAE law that says what is confidential, for how long, and what happens after a leak.

Ask SidqoNDA

What are you about to share, and who are you sharing it with?

Or start with

Sidqo asks a few questions, then writes the NDA for you to read and change. Private to your account.

Questions that come up before an NDA

Will asking for an NDA put them off?
A short NDA reads as professional, and a mutual one protects both sides. Sidqo keeps it to the point.
Can an NDA stop someone copying my idea?
It protects the information you share, not the idea in general. Sidqo helps you define exactly what is covered, because that is what a court reads first.
What if they already knew it?
Standard exclusions cover what was public or already theirs. Sidqo includes them, which keeps the NDA fair.
How long should it last?
Long enough to protect you, short enough to be reasonable. Sidqo suggests a term for your situation, and you decide.
How it works

A conversation, then a draft

  1. 1

    Answer in your own words

Sidqo asks one or two questions at a time. Give it several facts at once and it only asks for what is missing.

  2. 2

    Watch the checklist fill in

Each answer lands on the checklist beside the conversation, so you see what is covered and what is left.

  3. 3

Get the draft, then change it

Press “Write my NDA”. Read the draft, ask for any change in plain words, and download it as a Word file.

What Sidqo will ask

What goes into your NDA

These are the points Sidqo works through with you. Anything you leave open stays visible in the draft in [brackets], so nothing is quietly guessed.

  1. The parties

Each side's full name. For a company, its registered name and where it is licensed.

  2. One-way or mutual

Whether only you share information, or both sides do.

  3. The purpose

Why the information is shared: an investment talk, a project, a hire.

  4. What is confidential

The kinds of information covered, and what is not.

  5. How long it lasts

How long the duty to keep it confidential runs.

  6. When talks endOptional

Whether the information is returned or destroyed.

  7. Breach and disputesOptional

What happens after a leak, and which court or arbitration decides.

After the draft

From draft to signed

  1. Sign before you share

Send the NDA and get it signed before anything confidential changes hands.

  2. E-signatures work

An electronic signature works for an NDA in the UAE. Keep the signed copy.

  3. Label what you send

Mark documents as confidential and keep a record of what you shared and when.

  4. If it leaks

Keep the evidence and speak to a UAE lawyer early. The NDA sets out your remedies.

Questions

About your NDA

Are NDAs enforceable in the UAE?

Yes. An NDA is a contract under UAE civil law, and courts enforce clear obligations. Vague definitions are the usual weak point, so define the information precisely.

Should my NDA be mutual or one-way?

One-way when only you share. Mutual when both sides share, such as two companies exploring a deal. A mutual NDA also reads as fairer.

How long should an NDA last?

Two to three years is common for business information. Trade secrets can justify longer. Sidqo suggests a term and you choose.

Can an NDA be signed electronically in the UAE?

Yes. UAE law recognises electronic signatures for commercial agreements like NDAs.

Does an NDA stop someone from competing with me?

No. An NDA covers confidential information. A restriction on competing needs its own non-compete clause, and UAE law limits those.

Is this legal advice?

No. Sidqo provides legal information and drafts from what you tell it. If your information is highly valuable, have a UAE lawyer review the NDA before you sign.

Start with what you're sharing

Say what you are sharing and with whom. Sidqo asks the rest before you send anything.

Sidqo provides legal information, not legal representation. Drafts are written by AI from what you tell it and are not reviewed by a lawyer. For a high-value or contested matter, have a UAE lawyer read the draft before you sign or file it.
